Massachusetts CPA Firm License for Business Corporations

Eligible Entity Types:
  • Business Corporations
Foreign Qualification is Prerequisite:No
Ownership Requirements:
  • A simple majority of the ownership of the firm, in terms of financial interests and voting rights of all partners, officers, shareholders, members or managers are licensed CPAs in good standing in some state
  • Such partners, officers, shareholders, members or managers, whose principal place of business is in Massachusetts and practice public accountancy in Massachusetts, must be Massachusetts-licensed CPAs in good standing
Insurance Requirements:

Professional Liability Insurance that covers negligence, wrongful acts, errors and omissions, and insures the individual licensees who are employees, shareholders, officers, and directors of the Business Corporation in amounts not less than:

  • $100,000 per employee and partner per occurrence,
  • $300,000 per employee and partner in the aggregate OR
  • $600,000 per claim with an aggregate top limit of liability for all claims during any one year of at least $2,000,000
