Reinstatement is the process of restoring a delinquent entity back to good standing. Depending on the cause of delinquency, several steps may be required to reinstate your entity.

Reinstatement / Revival for Corporations:

Revoked Entity Instructions

Agency Fee:

$50 per year the entity has been delinquent + annual report fees and penalties for each delinquent report + $50 Letter of Good Standing fee paid to the RI Division of Taxation

How to Apply:
  1. Complete an application for a Letter of Good Standing (LOGS) from the RI Division of Taxation. On page two, Section 1, check “Reinstatement of charter revoked by Secretary of State” as your reason for requesting the letter.
  2. After you have obtained a Letter of Good Standing, email corporations@sos.ri.gov with the name of your business and ask what forms you need to file to complete your reinstatement. In the email, be sure to let our team know that you have already received your Letter of Good Standing.
  3. Complete and return all the required forms and the Letter of Good Standing, along with a check for the required filing and penalty fees made payable to RI Department of State.

This is written evidence that your entity has cleared all overdue or past taxes with the state’s tax authority, often the Department of Revenue or Department of Taxation.
