Biennial Report

  • The Secretary of State's entity search lists January 1 as the "Next Report Due Date"; however, this is the date that the filing window opens, not the due date. Filings are not considered delinquent until June 2.
Law:

Nebraska Statutes § 21-2,228. 

Penalties:

No late fee. Your business can be dissolved or revoked at 2 months late.

  • For proof of filings, copies of the report can be purchased for $0.45 per page.

Biennial Occupation Tax Report

Based on Nebraska property values, minimum $52 + $3 credit card fee + optional $0.45 per page fee for proof of filing copy.

Due:

  • By March 1 of even-numbered years. Reports can be filed as early as January 1.
  • The Secretary of State's entity search lists January 1 as the "Next Report Due Date"; however, this is the date that the filing window opens, not the due date. Filings are not considered delinquent until April 15.

Trade name registration is optional in Nebraska.

Law:

County Level Filing:

Filing is not required at the county level.

Does registration prevent others from using the name I choose?:

Registration of a trade name does not by itself confer ownership rights.

Notes:
  • The duplicate copy of the trade name registration must be published once in a newspaper of general circulation in the city where the business is located.
  • Proof of publication must also be filed within 45 days after the date of registration.

Annual Benefit Report

Professional Certificate of Registration or Application for Electronic Access of Records

Agency:Nebraska Secretary of State
Form:

Entities providing professional services in health care, architecture, or engineering use the Application for Electronic Access of Records form provided by the Secretary of State. All other entities use Certificate of Registration forms provided by the relevant board of professional regulation.

Agency Fee:

Fees vary by profession:

  • Entities providing health care, architecture, or engineering services pay $55 to the Secretary of State.
  • CPAs pay $30 to the Board of Public Accountancy
  • Attorneys pay $25 to the Clerk of the Supreme Court
  • Real estate brokers pay $25 to the Real Estate Commission
Due:

Annually by the anniversary date of your initial registration (if first renewal) or previous renewal filing. This means that your renewal date will change every year unless you file on the same day every year.

Law:

Nebraska Statutes § 21-186

Notes:
  • Entities that provide professional services other than health care, architecture, or engineering must first file an application for a Certificate of Registration with the relevant board of professional regulation. After the application is approved, a copy of the Certificate of Registration must be filed with the Secretary of State.
  • As of July 2024, engineering and architecture are no longer considered professional services in the state of Nebraska. Architecture and engineering firms that are already registered as PCs can remain as such or file an amendment to change their entity type to a standard corporation. Firms that remain registered as PCs will be required to continue filing an Application for Electronic Access of Records each year.
