Filing Method:

Mail or in-person only. Online filing is not available. Submit to Registry of Companies, Commercial Registrations Division, Government Services, NL.

Agency Fee:

$560 (CAD) for corporations with share capital

Notes:

  • Online filing is not available; applications must be mailed or delivered in person.
  • A Power of Attorney (Form 26) appointing an attorney for service in NL is required.
  • A registered office address within NL is required (P.O. boxes and retail mail outlets are not acceptable).
  • The Statutory Declaration (Form 25) must be sworn before a notary public or commissioner for oaths.
  • Payment by cheque payable to Newfoundland Exchequer Account.
Required Attachments:

  • Form 25 – Statutory Declaration (signed by same officers as Form 24, sworn before a notary public or commissioner for oaths)
  • Form 26 – Power of Attorney (appointing a local attorney for service)
  • Constating documents from home jurisdiction (articles of incorporation and any amendments)
Certified Copy Requirement:

Certified copies not required.

Certificate of Good Standing Requirement:

Certificate of Good Standing is not required.
